Shiseido Adds Dr. Dennis Gross Skincare to Global Portfolio

Shiseido Americas Corporation, a subsidiary of Shiseido, makes a highly strategic transaction, adding dermatologist-led prestige brand Dr. Dennis Gross Skincare to its portfolio. Dr. Dennis Gross Skincare was a BeautyMatter 2023 FUTURE50 brand.

WHO: Dr. Dennis Gross Skincare was launched in 2000 by former skin cancer researcher and practicing dermatologist Dr. Dennis Gross and his wife, Carrie Gross. The brand's groundbreaking, two-step Alpha Beta Daily Peel created a new category of dermatologist-developed skincare and disrupted the industry. With innovative, patented formulas incorporating simple, straightforward instructions, clients became instant believers.

Shiseido was founded in 1872 as the first private Western-style pharmacy in Japan. The business gradually evolved into a cosmetics company, offering people the most advanced technology and the finest aesthetics available worldwide, and is now known globally as the premier cosmetics company with roots in Japan. Fiercely contemporary and innovative after over 150 years in business, Shiseido Group brands are now sold in over 120 countries and regions.

WHY: In support of Shiseido’s corporate mission, “Beauty Innovations For A Better World," the acquisition of Dr. Dennis Gross Skincare is a synergistic complement to the business' skin beauty strategic framework and global portfolio of prestige brands. With the addition of Dr. Dennis Gross Skincare, Shiseido seeks to accelerate and strengthen its core prestige skincare business, including Shiseido and Clé de Peau Beauté. This acquisition bolsters the company’s geographic diversification and reinforces its investment in the Americas, to accelerate growth and increase profitability in the region.

As part of the Shiseido portfolio, Dr. Dennis Gross Skincare will leverage the Company’s vast global support network, commercial experience, and R&D expertise, enabling the brand to accelerate its ambitious growth plans. Shiseido’s proven expertise in skincare will facilitate Dr. Dennis Gross Skincare’s long-term growth trajectory.

DETAILS:

  • Shiseido acquires Dr. Dennis Gross Skincare to its portfolio in a $450 million deal. Terms of the transaction were not disclosed.
  • The transaction was led by Shiseido Americas and the New York-based Shiseido Global M&A team, in close coordination with Shiseido Company, Limited, the company’s headquarters. 
  • Dr. Dennis Gross Skincare was a BeautyMatter 2023 FUTURE50 brand and projected full year revenue to be between $100 to $125 million.  
  • In June 2020, Main Post Partners made a minority investment in Dr. Dennis Gross Skincare, representing the brand’s first outside investment. 
  • Jones Day served as Shiseido Americas’ legal counsel. Raymond James served as Dr. Dennis Gross Skincare’s exclusive financial advisor. Cowan, DeBaets, Abrahams & Sheppard LLP served as legal counsel to Dr. Dennis Gross Skincare, and Morrison Foerster served as legal counsel to certain shareholders.
